Welcome to Code-Z. These Terms of Service ("Terms") govern your use of our website at code-z.shop and any web development services provided by Code-Z, a professional web development agency based in Vadodara, Gujarat, India. These Terms constitute a legally binding agreement between you and Code-Z.
Acceptance of Terms
By accessing and using the Code-Z website (code-z.shop) or engaging our web development services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site or our services.
Description of Services
Code-Z provides professional full-stack web development services, including but not limited to: custom website design and development, web application development using React, Next.js, and Node.js, UI/UX design, e-commerce solutions, website maintenance and support, SEO optimization, and cloud deployment services. Specific deliverables, timelines, and pricing are defined in individual project agreements between Code-Z and the client.
Payment Terms
All project fees, payment schedules, and milestones are outlined in the individual project agreement or proposal provided prior to commencement.
A non-refundable deposit (as specified in the project agreement) is required before any development work begins.
Remaining payments are due according to the milestone schedule agreed upon in the project proposal.
Late payments may result in project delays, suspension of work, or additional fees as outlined in the agreement.
All prices are quoted in Indian Rupees (INR) unless otherwise specified.
Intellectual Property Rights
Upon full payment, the client receives ownership of the custom code, designs, and content specifically created for their project, unless otherwise specified in the project agreement.
Code-Z retains the right to use general frameworks, libraries, tools, and reusable code components that are not unique to the client's project.
Code-Z reserves the right to showcase completed projects in its portfolio unless the client expressly opts out in writing.
All pre-existing intellectual property, including Code-Z's branding, proprietary tools, and methodologies, remain the sole property of Code-Z.
Prohibited Uses
Using our website or services in any way that violates any applicable national or international law or regulation.
Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of our website, server, or connected databases.
Using our services to distribute malware, spam, or any harmful content.
Misrepresenting your identity or affiliation with any person or organization.
Reverse engineering, decompiling, or attempting to extract the source code of our proprietary tools or technologies.
Limitation of Liability
To the maximum extent permitted by applicable law, Code-Z shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our services. Our total liability for any claims arising from these terms shall not exceed the amount paid by you to Code-Z for the specific service giving rise to the claim within the 12 months preceding the event.
Project Revisions & Scope Changes
The number of included revision rounds will be specified in each project agreement.
Additional revisions beyond the agreed-upon scope will be billed separately at the rate specified in the project agreement.
Major scope changes or feature additions requested after project commencement may require a revised timeline and additional fees.
Code-Z will provide a written estimate for any additional work before proceeding.
Governing Law & Disputes
These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat, India. Both parties agree to attempt resolution through good-faith negotiation before pursuing legal remedies.
Termination
Either party may terminate the service agreement with written notice as specified in the individual project agreement. In the event of termination:
- The client shall pay for all work completed up to the date of termination.
- Code-Z will deliver all completed work and assets to the client.
- Any deposits paid are non-refundable unless otherwise agreed in writing.
- Confidentiality obligations shall survive the termination of the agreement.
Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Code-Z does not warrant that the website will be uninterrupted, secure, or error-free, or that defects will be corrected.
Changes to Terms
Code-Z reserves the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by updating the "Last Updated" date at the top of this page. Your continued use of our website or services after such changes constitutes your acceptance of the new Terms. We recommend reviewing these Terms periodically.
